ZIPAIR Points Club Rules and Conditions

ZIPAIR Points Club ("ZPC") is operated by ZIPAIR Tokyo Inc. ("ZIPAIR").
Any individual who registers as a ZPC member ("Member") must understand and acknowledge the terms and conditions outlined in these ZPC Rules and Conditions, the ZIPAIR websites, any applicable tariffs, and must comply with those terms and conditions.
(1) ZIPAIR POINTS
Members can accumulate ZIPAIR Points ("Points") if they meet the requirements of ZIPAIR, as specified from time to time.
Also, Members can use their Points to purchase services specified by ZIPAIR. The current value of the Points is equivalent to 1 point = 1.0 Japanese yen. ZIPAIR may change the value at any time at its discretion.
(2) APPLICATION
The applicant must correctly fill in all the necessary items on the ZPC application form on the ZIPAIR website. The only email address the Member can register with the ZPC will be the email address Member can receive.
(3) QUALIFICATION
Qualification for Membership will be effective when accurate completion of registration on the designated system and receipt of the application by ZIPAIR through the designated system.
(4) PROHIBITION OF MULTIPLE MEMBERSHIP REGISTRATION
A Member may have only one ZPC membership ID. If a Member is found to have multiple ZPC membership IDs, ZIPAIR will consolidate the multiple ZPC memberships into a single ZPC membership ID. Furthermore, if a Member has accumulated multiple or excess Points credit due to holding multiple ZPC memberships, ZIPAIR reserves the right to remove all excess Points from the Member's account(s) and adjust the Member's account to reflect the proper Points amount. ZIPAIR also reserves the right to terminate any Member who has more than one ZPC membership ID.
(5) MEMBERSHIP DATA CHANGES・ RESPONSIBILITY OF NOTIFICATION
If the information originally submitted by a Member connected with the Member's ZPC application changes, the Member is responsible for notifying ZIPAIR of those changes promptly in the designated manner. ZIPAIR will not be held responsible for any damages the Member incurs due to non-delivery, omissions or errors, etc., of the Member's notification.
(6) WITHDRAWAL FROM MEMBERSHIP
If a Member wishes to withdraw from the ZPC, the Member must notify ZIPAIR via the ZIPAIR website. Withdrawal will be effective on the day on which ZIPAIR registers the withdrawal in the designated registration system. All the Points accumulated in the Member's account will expire at that time.
(7) SETTING
The Member shall register a Personal Identification Number ("PIN") in the designated manner.
(8) DUTY OF MANAGEMENT
Members shall manage the PIN with the duty of care of a good manager to keep it private. Furthermore, the lending or transferring of membership IDs or PINs to others and the offering of ID information or PINs to others for their use are not permitted.
(9) CHANGES TO PIN
The Member can change the PIN and shall be responsible for changing the PIN regularly. Only the Member may change the PIN; neither a proxy nor ZIPAIR may do so.
(10) VALIDITY OF POINTS
Points will be valid for 365 days (based on Japan time) from the accumulation date. On the expiration date, the Points in the Member's account will expire. ZIPAIR shall not be held liable or responsible for the expiration of the Points. ZIPAIR may change the length of time Points are valid at its discretion.
(11) COMBINING POINTS AMONG MEMBERS
The pooling, combining, or transferring of accrued Points between Members is not permitted.
(12) REFUND OF THE POINTS
When services purchased with Points are not used, ZIPAIR may accept refund Points to the Member’s Points account under the refund policy in effect at that time for each service. ZIPAIR may change its refund policies at its discretion.
(13) CORRECTION OF POINTS
If ZIPAIR determines that any discrepancy exists between the correct Points and the registered Points, ZIPAIR reserves the right to adjust the registered Points to the correct Points following the ZPC Rules and Conditions regardless of the responsibility for the discrepancy.
(14) ELIGIBILITY OF BENEFITS
ZIPAIR may restrict the number of accumulating and redeeming Points and/or information services to certain Members only depending on the particular conditions of program participation, the number of accumulated Points, place of residence, application for certain ZIPAIR campaigns, or other factors..
(15) APPLICATION FOR AWARDS
Redemption of Points must be made only by individuals registered as Members.
(16) CHANGES TO AWARDS
Awards redeemable with Points may be terminated or changed at any time by ZIPAIR at its discretion.
(17) AWARDS WITH EXPIRATION DATE
Awards offered with an expiration date will not be redeemed after the expiration date.
(18) PROHIBITION OF SALE
The selling, bartering, or exchanging of Points is not permitted.
(19) PARTNERSHIP WITH JAL MILEAGE BANK
Points are exchangeable with JAL Mileage Bank ("JMB") mileage operated by Japan Airlines Co., Ltd.("JAL") as outlined in Attachment 1 to these Rules and Conditions. To exchange, it is necessary to connect the ZPC Member ID and JMB membership number on the ZIPAIR website in advance based on Attachment 1.
(20) CHANGES TO PARTNERSHIPS
ZIPAIR reserves the right to change partnership agreements with the partner companies at any time and for any reason without prior notice to the Members. Once issued, the awards will be valid for the period stated on each award, regardless of the partnership agreements' change.
(21) TERMINATION OF PARTNERSHIPS
Notwithstanding Rule 20, ZIPAIR reserves the right to terminate partnership agreements with the partner companies at any time and for any reason without prior notice to the Members. Once issued, the awards will be valid for the period stated on each award, regardless of the partnership agreements' termination. However, this does not apply in the event of a sudden business suspension, etc. of partner companies.
(22) EXCLUSION OF LIABILITY
ZIPAIR will in no event be liable or responsible for any damage or loss to the Member arising from the Member’s negligent or intentional failure to comply with the ZPC Rules and Conditions, including, without limitation, ZPC services used by others under the Member’s Member ID.
(23) GOVERNMENT REGULATIONS
The ZPC Rules and Conditions are subject to all relevant laws and government regulations.
(24) NOTICE OF CHANGES
ZIPAIR may change or revise these Rules and Conditions with due advance notice of the change(s), the renewed provision(s), and the effective date of the change(s) in an appropriate manner, such as by posting them on the ZIPAIR website(s).
(25) LATEST RULES
All rules and conditions outlined in the latest versions of the ZIPAIR website or printed materials will take precedence over all prior ZPC Rules and Conditions.
(26) AWARDS
When an application for an award is made, and the award is appropriate based on the terms, conditions, and procedures stipulated in the ZPC Rules and Conditions, ZIPAIR will deal with the Member's application and implementation's award in an effective manner.
(27) CAUSES FOR MEMBERSHIP DISQUALIFICATION
Members may be disqualified from ZPC participation for the following reasons:
A: The Member's information is incorrect at registration.
B: Submission of a false declaration or notice concerning Points credit or award usage.
C: Engaging in conduct that is not permitted under these ZPC Rules and Conditions or other rules.
D: Engaging in conduct that ZIPAIR judges to harm the Member's mutual trust with ZIPAIR.
If a Member engages or attempts to engage in any of the above conduct, ZIPAIR may immediately terminate Membership, withdraw Points and awards, claim for damages, temporarily suspend ZPC member services, and/or deny the Member's future participation in ZPC. Furthermore, ZIPAIR or governmental authorities may take appropriate administrative and/or legal action.
In principle, the total amount of damages to be claimed will be the full amount of actual damages sustained by ZIPAIR.
(28) DISPUTE SETTLEMENT
If a Member files an action against ZIPAIR in connection with a dispute under these Rules and Conditions, the Tokyo District Court shall be the exclusive court of jurisdiction. In addition, disputes based on these Rules and Conditions shall be governed by Japanese law.
(29) NOTICE OF ZPC TERMINATION
ZIPAIR will notify Members at least six (6) months before the termination of the ZPC. Commencing on the date the ZPC is to terminate, further Points accumulation will not be permitted. ZIPAIR will provide Members with a one (1) year period from the date of ZIPAIR's notice of ZPC termination to use any Points accumulated before the date on which the ZPC terminates.
(30) MANAGEMENT OF PERSONAL INFORMATION
ZIPAIR recognizes the importance of members' personal information in the ZPC operations and will take reasonable steps to safeguard such information.
(31) USAGE OF PERSONAL INFORMATION
JAL Group Companies (as defined below) may use the following personal information submitted by Members for Points credit, management of award usage, provision of air transportation service, service offers closely related to air travel such as package tours and hotels, notices about promotional materials and questionnaires, including those of the partner companies, and product developments and their subordinate works:
Membership ID, name, birth date, gender, address, telephone number, fax number, email address, place of employment (company name, department, title, office address, telephone number, fax number), addressee, jurisdictional region, Points or mileage balance, and necessity of wheelchair arrangements.
JAL Group Companies: JAL Group Airlines, including ZIPAIR, JALCARD Inc., JALPAK Co., Ltd., Okura Nikko Hotel Management Co., Ltd., JAL Payment Port Co., Ltd., JAL Digital Experience Co., Ltd. and JAL subsidiary companies for reservations, sales, and airport handling.

(32) INQUIRIES ABOUT PERSONAL INFORMATION
Member requests for changes or suspension of the use of their registered personal information or other inquiries shall be dealt with in a reasonably prompt manner if Members themselves contact ZIPAIR. If Members have questions or concerns about the handling of personal information, ZIPAIR will deal with them.
(33) PROVISION OF PERSONAL INFORMATION TO THIRD PARTIES
ZIPAIR will not provide personal information to third parties without the Member's prior consent unless the provision is stipulated in these ZPC Rules and Conditions or required by laws or regulations.
(34) MISCELLANEOUS PROVISIONS
In the event of any discrepancy between the English version and the Japanese version of the ZPC Rules and Conditions, the Japanese version on the ZIPAIR website shall prevail.

Processing of Personal Data in GDPR
(Attachment 1) PARTNERSHIP WITH JAL MILEAGE BANK
(1) ID CONNECTION
To exchange ZIPAIR Points and JAL Mileage Bank mileage, Members need to connect their Member IDs and JMB membership numbers on the ZIPAIR website in advance. In addition, the Member who made the connection ("Connected Member") shall not engage in any activity that falls under or is likely to fall under (1)A)-F) below. Also, if ZIPAIR or JAL determines that the Connected Member is taking such action, ZIPAIR or JAL may suspend or cancel the registration without the Connected Member's approval.
- Acts contrary to public order and morals, acts in violation of laws and regulations, or acts that promote them.
- An act of giving a disadvantage to other affiliated members or third parties.
- Acts that give disadvantages to ZIPAIR, JAL or their affiliated companies or third parties.
- Any act of obstructing the operation of the partnership between ZIPAIR’s Points program and JAL’s Mileage Bank program or damaging the credibility of ZIPAIR or JAL.
- Violation of the ZPC Rules and Conditions, “JAL Group's Basic Policies on Information Security and the Protection of Personal Information,” “JMB Rules and Conditions,” “Handling of Personal Information by JAL Group Airlines," other ZIPAIR or JAL provisions.
- Any other act deemed inappropriate by ZIPAIR or JAL.
(2) CONNECTED MEMBER QUALIFICATION
If Connected Member loses the status as a ZPC or JMB member, Connected Member will automatically lose ID Connection. If the ZPC service is suspended or the JMB Membership Card is suspended, the Connected Membership will also be suspended.
ZIPAIR or JAL may not be able to explain when Connected Member inquiries about the reason for suspension or cancellation of registration; Connected Member may need to inquire directly with the airline that initially suspended or canceled the registration.
(3) CANCELING ID CONNECTION
Connected Member may cancel the connection of the Member ID of ZIPAIR and the JMB membership number in accordance with the procedures prescribed by ZIPAIR and JAL.
Connected Member who has canceled the connection of the Member ID of ZIPAIR and the JMB membership number pursuant to the preceding sentence shall continue to hold the membership status of ZIPAIR and JMB.
(4) POINTS/MILES EXCHANGE SERVICE
Based on the provisions of this Attachment and the terms, conditions and procedures separately prescribed by ZIPAIR and JAL, Connected Members can exchange their Points for JAL miles and their JAL miles for Points. The following is referred to as "points/miles exchange" and the points/ miles exchange service provided by ZIPAIR and JAL is referred to as "points/miles exchange service."
(5) POSTING OF TERMS, CONDITIONS AND PROCEDURES OF POINTS/MILES EXCHANGE SERVICE
The terms, conditions and procedures separately stipulated by ZIPAIR and JAL for points/miles exchange service can be confirmed by accessing ZIPAIR or JAL's website.
(6) POINTS/MILES EXCHANGE
If Connected Member wishes to exchange Points or miles, Connected Member shall comply with the terms and conditions prescribed by ZIPAIR and JAL. At the time of the application, the Points or JAL miles required for the points/miles exchange applied for shall have been used and shall not be refundable.
Connected Members may not cancel the application after applying for the points/miles exchange.
Also, ZIPAIR and JAL will exchange Points and miles based on the Connected Member application if it is found to be legitimate and to comply with all applicable Rules and Conditions.
(7) LAPSE OF APPLICATIONS
Notwithstanding the preceding paragraph (6), when ZIPAIR and JAL are unable to exchange Points or miles due to the circumstances of the service's operation, they may, at the discretion of ZIPAIR and JAL, invalidate the application for the points/miles exchange by the Connected Member.
If the application has lapsed per the preceding sentence, ZIPAIR or JAL shall notify the relevant Connected Member to that effect. In this case, the Points or JAL Mileage used for the points/miles exchange shall be reinstated.
(8) CANCELLATION OF POINTS AND JAL MILEAGE
ZIPAIR or JAL may cancel the point/miles exchange if the points/miles exchange has been conducted for the Connected Member even though there were grounds for the Connected Member to be disqualified as a Member under the ZPC Rules and Conditions or the JMB Rules and Conditions at the time of application for the points/miles exchange.
In that case, the Points or JAL mileage used for the points/miles exchange shall be restored. However, if the grounds for disqualification arise from the Connected Member’s negligence or intentional misconduct, the Points or JAL mileage used for the points/miles exchange may not be restored.
When the number of Points or the number of JAL miles becomes negative due to any reason, including the fact that Points or JAL miles that have already been used are canceled per the provisions of this paragraph (8), Connected Member may be required to pay the corresponding negative amount with the payment method specified by ZIPAIR or JAL.
(9) INFORMATION SERVICE
ZIPAIR and JAL will use various means of notification, including email, to provide the Connected Members with information on the Connected Member service, Points, and various campaigns and events related to JAL mileage, as well as various product information, service information, and other business information or information of companies that are deemed appropriate by ZIPAIR, JAL and the companies participating in the point program, per the “ZPC Rules and Conditions,” “JAL Group's Basic Policies on Information Security and the Protection of Personal Information,” “JMB Rules and Conditions” and “Handling of Personal Information by JAL Group Airlines.”
If Connected Member wishes to unsubscribe from the information providing service, please follow the prescribed procedures for ZIPAIR and JAL.
(10) SUSPENSION OF CONNECTED MEMBER SERVICES
ZIPAIR or JAL may temporarily suspend the operation of the Connected Member service or, part/all of the ZIPAIR or JAL website without prior notice to the Connected Member in the following circumstances:
- In the case that maintenance, inspection, repair, or change of the system of the linked Member service is performed periodically or urgently.
- When it becomes difficult to provide the service for Connected Member due to a fire, power failure, natural disasters such as an earthquake or flood.
- When it becomes difficult to provide the service for Connected Member due to war, riot, disturbance, labor dispute, etc.
- When the operation becomes difficult due to the destruction or interference of the system of the service for Connected Member by a third party (including alteration or destruction of data or source code).
- When it becomes difficult to provide the Connected Member service due to excessive concentration of access to the Connected Member service system, etc.
- When ZIPAIR or JAL determines that temporary suspension of the Connected Member service is necessary.
Even if the Connected Member service is suspended under this paragraph (10), ZIPAIR or JAL shall not be liable for any disadvantage or damage suffered by the Connected Member or other third parties arising from the suspension.
(11) CHANGE OR TERMINATION OF CONNECTED MEMBER SERVICES
ZIPAIR and JAL may revise or change the terms, conditions and procedures of the Connected Member service, including, but not limited to, changes in the rate of exchange for the points/miles exchange service, from time to time without prior notice to the Connected Member.
ZIPAIR and JAL also may terminate the Connected Member service for any reason whatsoever. In case of the Connected Member service termination, ZIPAIR and JAL will announce or notify the Connected Member 3 months in advance in principle.
Connected Member can confirm the contents of the revisions and changes and the announcement of the service's termination under this paragraph (11) by accessing ZIPAIR or JAL's website.
ZIPAIR and JAL shall not be liable for any loss or damage suffered by the Members or other third parties as a result of any revision, change, or termination under this paragraph (11)
(12) NO LIABILITY
ZIPAIR and JAL shall not be liable for any delay, interruption, termination, or loss of data in the system due to a failure in communication lines, computers, etc., any failure in the use of Points or JAL mileages, any damage caused by unauthorized access to data, or any other damage incurred by the Connected Member regarding the Connected Member service.
ZIPAIR and JAL shall not be liable for compensation if the service for Connected Member becomes unavailable due to natural disaster, enactment or amendment of laws, traffic accident, disposition based on the exercise of public authority, transportation accident, labor dispute, or other unavoidable circumstances.
(13) HANDLING OF PERSONAL INFORMATION
ZIPAIR and JAL shall collect, use and provide the personal information of the Connected Member in accordance with "ZPC Rules and Conditions," " JAL Group's Basic Policies on Information Security and the Protection of Personal Information," "JMB Rules and Conditions" and " Handling of Personal Information by JAL Group Airlines."
(14) PURPOSE OF USE OF PERSONAL INFORMATION
ZIPAIR and JAL use the personal information of the Connected Member to provide the Connected Member service prescribed in "ZPC Rules and Conditions," " JAL Group's Basic Policies on Information Security and the Protection of Personal Information," "JMB Rules and Conditions" and " Handling of Personal Information by JAL Group Airlines."
In addition to the purpose of use stipulated in the "JMB Rules and Conditions" and " Handling of Personal Information by JAL Group Airlines," JAL will use the personal information of Connected Member to provide to ZIPAIR to the extent necessary to provide the Connected Member service and for marketing or promotional purposes.
(15) PROVISION OF PERSONAL INFORMATION
ZIPAIR will provide JAL with the Member ID, registered information, usage information of ZIPAIR, and other personal information of the Connected Member by sending the document or electronic or electromagnetic means, etc., within the scope necessary to achieve the purpose of use prescribed in the preceding paragraph (14), in addition to the provisions of "ZPC Rules and Conditions," " JAL Group's Basic Policies on Information Security and the Protection of Personal Information."
Under the provisions of "JMB Rules and Conditions" and "Handling of Personal Information by JAL Group Airlines," to the extent necessary to achieve the purpose of use outlined in the preceding paragraph (14), JAL will provide ZIPAIR with the personal information of Connected Member by sending documents, electronic or electromagnetic means, etc.
The handling of personal information of Connected Member shall follow the rules of each partner company.
